3.2 Timeline Dependencies

The timeline is dependent on:

Timely client feedback and approvals (within 5 business days)
Complete content and materials provided by Client
No major scope changes during development
Access to necessary third-party services and accounts

4. CLIENT RESPONSIBILITIES

To ensure timely project completion, Client agrees to provide:

Content: All text, images, videos, and other materials
Branding: Logo files, brand colors, fonts, style guidelines
Feedback: Timely responses and approvals within 5 business days
Access: Credentials for hosting, domain, email, and any third-party services
Legal Compliance: Ensure all provided content is legally owned or licensed

5. REVISIONS AND CHANGES

5.1 Included Revisions

Design Revisions Included: rounds
Content Revisions Included: rounds

5.2 Additional Revisions

Additional revision rounds beyond those included will be billed at $75/hour.

5.3 Scope Changes

Changes to the project scope must be requested in writing. Developer will provide a written estimate for additional time and cost. Work will not proceed without Client approval.

6. PAYMENT TERMS

Total Project Cost: $

6.1 Payment Schedule

Deposit (50%): $ - Due upon signing
Milestone Payment (25%): $ - Due upon design approval
Final Payment (25%): $ - Due before launch

6.2 Payment Methods

Accepted payment methods: E-transfer, Credit Card, Cheque

6.3 Late Payments

Payments more than 10 days overdue will incur a late fee of 2% per month. Developer reserves the right to pause work on overdue accounts.

6.4 Project Launch

Website will not be launched until all payments are received in full.

7. INTELLECTUAL PROPERTY

7.1 Ownership Transfer

Upon receipt of final payment:

Client owns all custom design work and content created specifically for this project
Client receives source files and full access to website
Developer retains rights to underlying code structure and reusable components

7.2 Third-Party Resources

The website may include third-party components (frameworks, libraries, stock images) subject to their respective licenses. Client must comply with these licenses.

7.3 Portfolio Rights

Developer may display the completed website in portfolio and marketing materials unless Client requests otherwise in writing.

8. HOSTING AND DOMAIN

Hosting included for: months
Domain registration/renewal included
Email setup included

After the initial included period, Client may choose to:

Continue monthly maintenance with Adams Web Design
Transfer website to Client's own hosting (assistance provided)

9. WARRANTY AND SUPPORT

9.1 Warranty Period

Developer provides a 30-day warranty from launch date covering:

Bug fixes and technical issues
Browser compatibility issues
Mobile responsiveness problems

9.2 Post-Warranty Support

After the warranty period, support is available:

As part of a monthly maintenance package
On an hourly basis at $75/hour

9.3 Exclusions

Warranty does not cover:

Issues caused by Client modifications
Third-party service failures
Content updates or additions
New feature requests

10. TESTING AND ACCEPTANCE

10.1 Testing

Developer will test the website on:

Modern browsers (Chrome, Firefox, Safari, Edge - latest versions)
Mobile devices (iOS and Android)
Tablet devices

10.2 Client Acceptance

Client will have 5 business days from notification to review and test the website. Client must provide a written list of any issues. If no response is received within 5 days, the website is deemed accepted.

11. TERMINATION

11.1 Client Termination

Client may terminate this contract with written notice. Client will be charged for all work completed to date based on hourly rate of $75/hour. Deposit is non-refundable.

11.2 Developer Termination

Developer may terminate if:

Client fails to make payments as agreed
Client fails to provide required materials or feedback for 30 days
Client breaches terms of this agreement

11.3 Upon Termination

All completed work to date will be provided to Client. Developer retains all rights until final payment is made.

12. LIMITATION OF LIABILITY

Developer's total liability shall not exceed the total project cost. Developer is not liable for indirect, incidental, or consequential damages including loss of profits or business interruption.

13. ENTIRE AGREEMENT

This contract represents the entire agreement and supersedes all prior discussions or agreements. Changes must be made in writing and signed by both parties.
