6. Payment and Fees
6.1 Pricing

- Monthly fees due on the 1st of each month

- Invoices payable within 10 days
6.3 Late Payments
- 2% monthly late fee (24% annually) on overdue balances

- Unused portions of prepaid services are not refunded

7. Service Level and Availability
7.1 Uptime
We target 99.9% uptime monthly, excluding scheduled maintenance.
7.2 Maintenance
We may perform scheduled maintenance with 48 hours notice. Emergency maintenance may occur with shorter notice.
7.3 No Guarantee
While we strive for excellent service, we do not guarantee:
- Uninterrupted or error-free service
- Specific performance metrics beyond stated SLA
- Compatibility with all devices/browsers
- Freedom from security threats
8. Warranties and Disclaimers

- We are not obligated to provide migration assistance beyond file delivery

- Return or destroy confidential information upon request
This obligation survives termination for 3 years.
13. Force Majeure
Neither party is liable for failures due to circumstances beyond reasonable control, including natural disasters, government actions, internet outages, or other force majeure events.
14. Modifications to Terms
We may modify these Terms with 30 days notice. Continued use after changes constitutes acceptance. Material changes require explicit acceptance for existing contracts.
15. Governing Law
These Terms are governed by the laws of Alberta, Canada. Disputes shall be resolved in Alberta courts.
16. Dispute Resolution

Disputes should first be addressed through good-faith negotiation.

If negotiation fails, parties agree to attempt mediation before litigation.
