6. PAYMENT TERMS
6.1 Billing
Monthly fees are billed on the 1st of each month
Payment is due within 10 days of invoice date
Accepted methods: E-transfer, credit card, automated billing
6.2 Late Payments
Payments more than 10 days late incur a 2% monthly fee (24% annually)
Services may be suspended after 15 days of non-payment
Website may be taken offline after 30 days of non-payment
6.3 Annual Discount
Client elects to pay annually with 10% discount

7. TERM AND TERMINATION
7.1 Initial Term
Initial Commitment: months (minimum)
7.2 Renewal
After the initial term, this agreement continues on a month-to-month basis.
7.3 Cancellation
Either party may cancel with 30 days written notice after the initial term. Client must provide notice by email.
7.4 Upon Termination
When this agreement terminates:
Client must pay any outstanding invoices
Provider will provide website files and final backup
Hosting continues for 30 days to allow migration
Email services continue for 30 days
Provider is not responsible for migration assistance beyond file delivery
8. CLIENT RESPONSIBILITIES
Client agrees to:
Provide timely access to website, hosting, and accounts as needed
Respond to Provider inquiries within 5 business days
Keep login credentials secure
Not modify website code without Provider approval
Provide content in appropriate formats for updates
Maintain appropriate insurance for their business
9. UPTIME GUARANTEE
9.1 Guaranteed Uptime
Provider guarantees 99.9% uptime monthly (excluding scheduled maintenance).
9.2 Scheduled Maintenance
Provider may perform scheduled maintenance with 48 hours notice. Scheduled maintenance windows do not count against uptime guarantee.
9.3 Service Credits
If uptime falls below 99.9% in a month:
99.0% - 99.8%: 10% monthly fee credit
98.0% - 98.9%: 25% monthly fee credit
Below 98.0%: 50% monthly fee credit
Credits do not apply to outages caused by factors outside Provider's control (DDoS attacks, third-party service failures, etc.)
10. LIMITATION OF LIABILITY
Provider's total liability is limited to the monthly maintenance fee. Provider is not liable for:
Loss of business, profits, or revenue
Data loss (despite backup services)
Third-party service failures
Hacking or security breaches (despite security measures)
Issues caused by Client modifications
Force majeure events
11. WARRANTY DISCLAIMER
Services are provided "as is" without warranties. Provider will use reasonable efforts to maintain website but cannot guarantee:
100% uptime or error-free operation
Complete security from all threats
Specific search engine rankings
Traffic or conversion levels
12. ADDITIONAL WORK
Work beyond the scope of the selected package will be:
Quoted in advance with estimated time and cost
Billed at $75 per hour for development work
Invoiced separately from monthly maintenance
Requires Client approval before work begins
13. ENTIRE AGREEMENT
This agreement represents the entire understanding between parties. Modifications must be in writing signed by both parties.
